END-USER LICENSE AGREEMENT FOR 3MAGIC PRODUCTS

IMPORTANT READ CAREFULLY: This 3magic End-User License Agreement ("EULA") is a legal agreement between you (an individual) and 3magic for the 3magic software product identified above, which includes "online" or electronic documentation and may include computer software and associated media and printed materials ("SOFTWARE PRODUCT" or "SOFTWARE"). By downloading, installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you are not authorized to use the SOFTWARE PRODUCT.

SOFTWARE PRODUCT LICENSE: The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

1. GRANT OF LICENSE. This EULA grants you the following rights:

1.1 Installation and Use. You may install and use copies of the SOFTWARE PRODUCT on a SINGLE computer by a SINGLE user. You may incorporate the SOFTWARE within your Java applet or Java application ("APPLICATION") as an internal user-interface element.

1.2 Backup copy. You may make one copy of the SOFTWARE PRODUCT solely for backup or archival purposes.

1.3 Object Code Deployment and Distribution. You may permit download and use of the SOFTWARE class libraries ("BYTECODE") royalty-free when used in conjunction with your APPLICATION. The BYTECODE must be substantially incorporated into your APPLICATION as an internal user-interface element and must be required by your APPLICATION to run.

1.4 Restrictions. You may not permit download, or reproduce in any manner, the SOFTWARE as a standalone product. You may not permit download, or reproduce in any manner, the associated documentation or sample code. You may not distribute the SOFTWARE as a development tool user-interface grid component.

1.5 Network. You may use the SOFTWARE for development purposes on a network, provided that you have a licensed copy of the SOFTWARE for each computer that can access the SOFTWARE over that network.

1.6 EVALUATION versions of SOFTWARE may be freely distributed as long as it is unmodified in any way, and is distributed with this EULA, and you notify 3magic in writing or by electronic mail. You may not charge for distribution or redistribution of the Software, in any way, or distribute the Software in modified form. You may not attempt to disable or thwart the built-in limitations found in the EVALUATION product.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

2.1 Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

2.2 Copyright Notices. You must maintain all copyright notices on all copies of the SOFTWARE PRODUCT.

2.3 No Distribution. You may not distribute copies of the SOFTWARE PRODUCT to third parties, except as set forth in the grant of license.

2.4 Rental. You may not rent, lease or lend the SOFTWARE PRODUCT.

2.5 Software Transfer. You may permanently transfer all of your rights under this EULA, provided the recipient agrees to the terms of this EULA. Written notification must be made to 3magic.

2.6 Termination. Without prejudice to any other rights, 3magic may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.

3. COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT and any copies thereof are owned by 3magic or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content.

4. U.S. GOVERNMENT RESTRICTED RIGHTS. SOFTWARE PRODUCT and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software Restricted Rights at 48 CFR 52.227-19, as applicable. Bureau of Export Administration nor any other federal agency has suspended, revoked or denied your export privileges.

6. NO WARRANTIES. 3magic expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the SOFTWARE PRODUCT remains with you.

7. NO LIABILITY FOR DAMAGES. In no event shall 3magic or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this 3magic product, even if 3magic has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

8. MISCELLANEOUS. If you acquired this product in the United States, this EULA is governed by the laws of the State of California. If this product was acquired outside the United States, then local law may apply.

3magic COFFEE TABLE FOR JAVA
MULTI-DEVELOPER SOURCE CODE LICENSE

This 3magic Source Code License Agreement is a legal agreement between 3magic Software (ìLicensorî) and _____________________________________ (ìCustomerî) under which Licensor is licensing 3magic Coffee Table 2.0 with source code and documentation (ìSoftwareî) on a non-exclusive basis for the Customerís own use under the terms and conditions listed below.

1. OWNERSHIP OF THE SOFTWARE. The enclosed Licensor software program - Software and the accompanying source code and documentation are owned by Licensor and are protected by United States copyright laws, and international copyright treaties, as well as other intellectual property laws and treaties.

2. SCOPE OF THE AGREEMENT. This agreement shall apply to the current release of the Software and any future maintenance releases and updates to the Software.

3. GRANT OF LICENSE

3.1. Licensor hereby grants to Customer, and Customer hereby accepts, a permanent non-exclusive license to use the Software subject to the terms and provisions of this Agreement.

3.2. The Software may be used for Customerís internal business use or to develop products for other clients. Customer may not transfer Software, accompanying source code or documentation to any other third party. Customer may however use the Software in a product developed for a third party.

3.3. Object Code Deployment and Distribution. Customer may permit download, distribution and use of the Software class libraries ("BYTE CODE") royalty-free when used in conjunction with your APPLICATION. The BYTE CODE must be substantially incorporated into your APPLICATION as an internal user-interface element and must be required by your APPLICATION to run.

3.4. Backup Copy. The Software may not be copied, except that (1) Customer may make one copy of the Software solely for backup or archival purposes, and (2) Customer may transfer the Software to a single hard disk provided you keep the original solely for backup or archival purposes.

3.5. Network. Customer may use the Software for development purposes on a network, provided that the development computers connected to the network belong to the single corporate location.

3.6. Restrictions. The Software may not be used by any person or entity unless specifically listed as a Customer. If Customer is a single person, then the Software may be used only by that person. If Customer is a company, then the Software may only be used by employees of that company.

4. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

4.1. The Customer may not use the Software to develop a competitive product to 3magic Coffee Table or distribute the Software as a Grid component for Java.

4.2. Copyright Notices. Customer must maintain all copyright notices on all copies of the Software.

4.3. No Distribution. Customer may not distribute copies of the Software to third parties, except as set forth in the grant of license.

4.4. Rental. You may not rent, lease or lend the Software.

4.5. Software Transfer. The Customer may transfer the source code license to a third-party by contacting Licensor in writing. 3magic will need a signed license agreement from the third-party to complete the transfer.

4.6. Termination. Without prejudice to any other rights, Licensor may terminate this license agreement if Customer fails to comply with the terms and conditions of this agreement.

5. U.S. GOVERNMENT RESTRICTED RIGHTS. The Software and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software Restricted Rights at 48 CFR 52.227-19, as applicable. 6. EXPORT RESTRICTIONS. Customer agrees that he will not export or reexport the Software to any country, person, entity or end user subject to U.S.A. export restrictions. Restricted countries currently include, but are not necessarily limited to Cuba, Iran, Iraq, Libya, North Korea, Sudan, and Syria. Customer warrants and represents that neither the U.S.A. Bureau of Export Administration nor any other federal agency has suspended, revoked or denied your export privileges.

7. NO WARRANTIES. 3magic expressly disclaims any warranty for the Software. The Software and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or non infringement. The entire risk arising out of use or performance of the Software remains with Customer.

8. NO LIABILITY FOR DAMAGES. In no event shall 3magic or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this 3magic product, even if 3magic has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

9. MISCELLANEOUS. If you acquired this product in the United States, this license agreement is governed by the laws of the State of California. If this product was acquired outside the United States, then local law may apply.
